These Terms of Service ("Terms") govern your use of ToolVault Pro (the "App"), provided by Daylan Nekula ("we", "us"). By creating an account or otherwise using the App, you agree to these Terms. If you do not agree, do not use the App.
1. The Service
ToolVault Pro is a personal and professional inventory tracker for tools, batteries, and chargers. A free tier is available with a limit of 25 tools. The Pro tier unlocks unlimited inventory, photos, exports, borrow/lend tracking, backups, and other features described in the App.
2. Eligibility & account
You must be of legal age in your jurisdiction to enter into these Terms. You are responsible for the accuracy of the information you provide, for keeping your credentials confidential, and for all activity under your account.
3. Acceptable use
You agree not to:
- use the App for unlawful, fraudulent, or abusive purposes;
- send spam, malware, or otherwise interfere with the App's security or integrity;
- probe, scan, scrape, or test the vulnerability of the App or its infrastructure;
- infringe the intellectual property or other rights of any third party; or
- circumvent technical limits, including the free-tier inventory cap.
4. Intellectual property
We retain all rights, title, and interest in the App, including its software, branding, and documentation. We grant you a limited, non-exclusive, non-transferable right to use the App in accordance with these Terms and your selected plan. You retain ownership of the inventory content you create; you grant us a limited licence to host and process that content solely to provide the App to you.
5. Subscriptions, payments & billing
Pro is offered as a recurring subscription. Subscriptions automatically renew at the end of each billing period until cancelled. You can cancel at any time via the App or via the customer portal; cancellation takes effect at the end of the current billing period and you retain access until then.
Payment, billing, tax, and invoicing are handled by our reseller, Paddle. By subscribing, you agree to Paddle's Buyer Terms, which govern payment mechanics, taxes, currency, billing frequency, and related matters.
6. Reseller / Merchant of Record
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.
7. Refunds
Refunds are governed by our Refund Policy, which forms part of these Terms.
8. Service availability
We work to keep the App available and reliable, but we do not guarantee uninterrupted or error-free operation. The App is provided "as is" and "as available" without warranties of any kind, express or implied, to the fullest extent permitted by law, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
9. Suspension & termination
We may suspend or terminate your access for material breach of these Terms, non-payment, security or fraud risk, or repeated or serious violations of acceptable use. You may terminate at any time by cancelling your subscription and ceasing use of the App. On termination, your right to use the App ends; you may export your data for a reasonable period before deletion, except where retention is required by law.
10. Liability
To the fullest extent permitted by law, our aggregate liability arising out of or related to the App is limited to the fees you paid to Paddle for the App in the 12 months preceding the event giving rise to the claim. We are not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or business interruption. Nothing in these Terms excludes liability that cannot be excluded by law (such as for fraud, death, or personal injury caused by negligence).
11. Indemnification
You agree to indemnify and hold us harmless from claims arising out of your content, your use of the App in violation of these Terms, or your violation of applicable law or third-party rights.
12. Changes to the App or Terms
We may modify the App or these Terms from time to time. Material changes will be communicated in the App. Your continued use of the App after changes take effect constitutes acceptance of the updated Terms.
13. Governing law & disputes
These Terms are governed by the laws of the jurisdiction in which we are established, without regard to its conflict-of-laws rules. Disputes will be resolved by the competent courts of that jurisdiction, unless mandatory consumer law in your country of residence provides otherwise.
14. Assignment & force majeure
You may not assign these Terms without our consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets. Neither party is liable for delay or failure to perform caused by events beyond reasonable control.
